Constitution of the Raleigh-Wake County Dental Society

ARTICLE I – NAME

The name of this organization shall be the Raleigh-Wake County Dental Society.

The object of this Society shall be to provide a forum for exchange of ideas and knowledge for all dentists in Wake County; to stimulate continuing education; to promote the highest professional standards in the science of dentistry.

The membership of the Society shall be composed of the following classifications:

Active, Associate, Life, Disabled Active, Inactive and Honorary. The qualifications for the various classifications of membership are found in Article I of the By-Laws.

Section I. The annual dues for all classes of membership shall be prescribed in Article II of the By-Laws.

Section II. The annual dues for the members of the Raleigh-Wake County Dental Society shall be payable January 1st for the ensuing calendar year. Recent graduates are exempt from dues for the remainder of the calendar year in which they graduated.

Section III. A member whose dues are not paid by March 1st shall be suspended from membership, provided a final written notice of dues due is sent to the member by mail, email or fax at least 10 days prior to the expiration of his/her membership.

Time and place of the meetings of this Society shall be determined by the Executive Board, provided ten (10) days notice by mail, email, fax and/or web posting is given to the membership by the Secretary prior to said meeting.

Section I. The officers of this Society shall be the President, President-Elect, Secretary, Treasurer, Editor and Webmaster.

Section II. The manner of election of these officers shall be determined by Article VII of the By-Laws.

Section III.The term of office for every officer is one-year. Officers can be re-elected for consecutive years to the positions of Secretary, Treasurer, Editor and Webmaster, but not President or President-Elect. The year of service is defined as the calendar year.

The Executive Board shall be the governing body of the Raleigh-Wake County Dental Society and shall transact all business of the Society not otherwise provided for and shall consist of the following: The officers of this Society, namely, the President, President-Elect, Secretary, Treasurer, Editor and Webmaster, the immediate Past President, and two members elected by the membership of the Society. The term of office for every Executive Board member is one-year. Members-at-Large can be reelected to the same position. The year of service is defined as one calendar year.

The Constitution may be amended by a three-fourths majority vote of the total active membership at any regular meeting, provided: the proposed amendment(s) has been made in writing and read to the Society at any regular meeting; and that the Secretary has notified the membership and presented copies to the same of the proposed amendment(s) by mail, email, fax and/or web posting at least two weeks prior to the time the vote is taken.
